Affiliate Programme Terms and Conditions

1. Agreement

By applying for, joining or using the Vesta Stoves affiliate programme, you agree to these Affiliate Programme Terms and Conditions.

Your participation begins only when Vesta Stoves approves your application. We may accept or reject an application at our discretion and are not required to provide a reason.

We may update these terms where reasonably necessary, including to reflect changes to the programme, technology, payment methods, law or regulatory guidance. The current version will be published on this page. Continued participation after an update takes effect will amount to acceptance of the revised terms.

2. Eligibility and affiliate accounts

• You must be at least 18 years old and legally able to enter into this agreement.
• You must provide accurate and complete application and account information.
• Automated, false, duplicate or misleading applications are not permitted.
• Each account must normally relate to one person or legal entity.
• You are responsible for keeping your login details secure and for activity carried out through your account.
• You must promptly update any account information that becomes inaccurate.
• You must not use the programme for unlawful, fraudulent or unauthorised purposes.
• You must not use your own affiliate link to earn commission on your own purchases.

3. Referral links and tracking

Approved affiliates will receive access to unique referral links or codes. You must use the link format supplied through your affiliate account so that visits and sales can be tracked.

Affiliate links should normally point to the product or page being promoted. You must not alter, conceal or manipulate a referral link in a way that interferes with tracking or misleads a customer.

Commission can only be awarded where a qualifying transaction is recorded by our affiliate tracking system. We cannot manually award commission solely because an affiliate or customer states that a referral took place.

4. Commission, qualifying sales and payment

Qualifying transactions

A transaction will normally qualify only when the customer follows a correctly formatted referral link and completes an eligible order within the tracking period.

Commission is calculated on the qualifying order value after discounts and excluding delivery charges, taxes, refunds, chargebacks, cancelled items and any other non-commissionable amounts shown in the programme account.

Pending and reversed commission

Commission may remain pending while an order is processed and while relevant cancellation, return or chargeback periods remain open. Commission may be rejected or reversed where an order is cancelled, refunded, unpaid, fraudulent, duplicated or otherwise does not qualify.

Payment details and tax

You are responsible for providing correct payment details and for declaring and paying any tax, National Insurance, VAT or other liability arising from affiliate income. Vesta Stoves does not provide tax advice.

5. Marketing standards and affiliate disclosure

Affiliate marketing content must be honest, accurate, lawful and clearly identifiable as advertising where required. You must make it clear, before or at the point a customer engages with an affiliate link, that you may receive commission.

• Do not make false, exaggerated or unsubstantiated claims about Vesta Stoves or its products.
• Do not describe yourself as an employee, agent, authorised installer, partner or representative of Vesta Stoves unless separately agreed in writing.
• Do not imply that Vesta Stoves sponsors, endorses or supports you, a charity or another organisation unless this has been confirmed in writing.
• Do not send unlawful unsolicited marketing emails, messages or direct communications.
• Do not use misleading countdowns, false scarcity, fake reviews or deceptive pricing claims.
• Do not bid on, purchase or use Vesta Stoves brand terms in paid search advertising without written permission.
• Do not register domains, social accounts or business names that imitate or could be confused with Vesta Stoves.

6. Customers, orders, prices and availability

Customers referred through the programme remain customers of Vesta Stoves. Our website terms, ordering procedures, delivery terms, returns policy, warranty terms and customer-service procedures apply to their purchases.

Vesta Stoves controls product descriptions, prices, discounts, delivery options and availability. These may change without notice. Affiliates should link customers to the relevant product page rather than publishing fixed prices that may become outdated.

Vesta Stoves may refuse or cancel an order in accordance with its customer terms and applicable law.

7. Your responsibilities

You are responsible for your website, channel, social account, newsletter, advertisement and all content used to promote Vesta Stoves.

• Keep product information accurate and reasonably up to date.
• Obtain permission for all images, music, video, text and other materials you publish.
• Do not infringe copyright, trade marks, privacy rights or other third-party rights.
• Do not publish unlawful, defamatory, discriminatory, harmful or offensive material in connection with the programme.
• Comply with the rules of every website, platform or service you use.
• Maintain any privacy notice, cookie information and consent mechanism required for your own channels.
• Keep reasonable evidence supporting product claims and advertising statements.

8. Privacy, cookies and personal data

Affiliate tracking may use cookies or similar technologies to attribute visits and orders. Vesta Stoves will process affiliate account information and tracking data in accordance with its Privacy Policy and Cookie Policy.

You are independently responsible for the personal data you collect through your own website, mailing list, social channel or other service. Where required, you must provide clear privacy and cookie information and obtain valid consent before using non-essential tracking technologies.

You must not send Vesta Stoves personal data that you do not have a lawful basis to share.

9. Brand materials and intellectual property

Vesta Stoves may allow you a limited, revocable, non-exclusive and non-transferable right to use approved logos, product images, banners and other brand materials solely to promote the affiliate programme.

You must follow any brand guidance provided, must not materially alter approved assets and must stop using them when requested or when your participation ends.

Except for this limited permission, no ownership or other rights in the Vesta Stoves name, website, products, photographs, designs, trade marks or content are transferred to you.

10. Term, suspension and termination

This agreement starts when Vesta Stoves approves your application and continues until ended by you or us.

Either party may end participation by giving written notice. Vesta Stoves may suspend or terminate an account immediately where we reasonably believe there has been fraud, unlawful conduct, misleading marketing, misuse of the brand, manipulation of tracking, breach of these terms or conduct likely to harm customers or the Vesta Stoves reputation.

When participation ends, you must stop using affiliate links and remove Vesta Stoves brand materials where requested. Valid approved commission above the payment threshold will normally be paid in the usual payment cycle. Commission connected with fraud, illegality, prohibited self-referrals or other serious breaches may be rejected or forfeited.

Vesta Stoves may change, suspend or close the affiliate programme at any time.

11. Programme availability and limitation of liability

We aim to operate the programme and tracking system reliably, but we do not guarantee that they will always be available, uninterrupted or error-free.

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to the paragraph above, Vesta Stoves will not be liable for indirect or consequential loss, loss of profit, loss of opportunity, loss of anticipated commission, loss of data or damage caused by third-party platforms, tracking restrictions or events outside our reasonable control.

Subject to applicable law, our total liability arising from the affiliate programme will not exceed the total commission paid or payable to you during the 12 months immediately before the event giving rise to the claim.

12. General provisions

Independent businesses

You and Vesta Stoves are independent contracting parties. Nothing in these terms creates an employment relationship, partnership, joint venture, franchise or agency.

Assignment

You may not transfer your affiliate account or rights under these terms without prior written permission from Vesta Stoves.

Entire agreement

These terms, together with any programme rules displayed in the affiliate account, form the agreement between you and Vesta Stoves concerning the affiliate programme.

Severability and waiver

If any provision is found to be invalid or unenforceable, the remaining provisions will continue in effect. A delay or failure to enforce a provision does not waive the right to enforce it later.

Governing law and jurisdiction

These terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction over disputes arising from or connected with the affiliate programme, except where applicable law requires otherwise.
